Terms of Service

These Terms govern the international (non-Korean) Zeric Pro offerings — the recurring subscription and the fixed-term (prepaid) licence — billed in US dollars. Our order process is conducted by our online reseller Polar (Polar Software, Inc.). Polar is the Merchant of Record for all our orders. Polar handles payment processing, billing, applicable sales taxes and VAT, and customer-service inquiries including returns. If you are purchasing in Korean Won from within Korea, the Korean-language Terms apply to you instead of these Terms.
1. License & Intellectual Property
- Zeric — closed-source, proprietary software. A holder of a valid subscription/license is granted only a non-exclusive, non-transferable right to use it for personal or internal company purposes.
- Licence & concurrent-use limit — (i) A single subscription (licence) may be used to run Zeric Pro features on only one device at a time. (ii) If you use the same subscription for Pro features on another device, we may enforce this limit by automatically deactivating the Pro features on your previous device. You can log out on the previous device ([Settings] → [Remove token]) or request release at [email protected]. Self-release via logout takes effect immediately; support requests (including false blocks from hardware changes, virtual machines, or dual-boot setups) are handled within 2 business days. (iii) To check compliance with this limit, we may verify the validity and use of your licence by comparing minimal information — such as a device fingerprint (a hash) — without collecting your raw hardware information. The specifics are handled under our Privacy Policy (2-6). (iv) When your subscription is cancelled or expires, this deactivation is released automatically, and we retain the related information only for the period set out in the Privacy Policy.
- Prohibited acts — The following are prohibited: (1) redistribution, rental, or sublicensing of the software; (2) reverse engineering, decompilation, or disassembly, except to the extent such acts cannot be restricted under applicable mandatory law (for example, for interoperability, error correction, or security-vulnerability analysis), in which case that analysis and the use of its results are not restricted beyond what such law allows; (3) using KephaLabs' source or binary code or a substantial copy thereof, or acquiring or using KephaLabs' trade secrets by improper means, to develop a competing product or service. — Conversely, independently developing a product by referring to the software's behavior or ideas, or referencing information you lawfully encountered for personal study, research, or evaluation, is not restricted.
- BYOK traffic — Zeric is a BYOK model in which you call external AI (LLM) APIs directly with your own API key (Section 2). Accordingly, your monitoring, inspection, or retention of your own network traffic, requests, and responses is not restricted by these terms.
- Ownership — All intellectual property in the software, its source/binary code, prompts, tool catalog, UI/design, and documentation belongs to KephaLabs. No right is transferred except the use right expressly granted in these terms.
- Watermark — Certain assets, such as prompts and the tool catalog, may contain watermarks for provenance identification and leak tracing. Removing or forging a watermark and then sharing or distributing the asset is prohibited (acts for personal retention excepted).
- Nevic — closed-source, proprietary software (B2B), provided under a separate commercial license agreement; planned for 2027.
2. BYOK (Bring Your Own Key)
Zeric operates as a BYOK product — users supply their own API key for a supported AI provider (such as Anthropic, OpenAI, Google, or xAI).
- The API key is encrypted with Windows DPAPI on the user's PC; it is never transmitted to Kepha Labs servers.
- API usage costs are paid directly to the chosen AI provider by the user.
- API call inputs / outputs are not collected by Kepha Labs (aggregate metadata is excluded — see privacy policy).
- Local AI (Ollama) — The local-AI feature uses third-party software (Ollama) that you install separately and open models that you download yourself. Ollama and each model are governed by their respective providers' licences, and Kepha Labs does not distribute model weights. The accuracy and fitness of local-AI output are not guaranteed (the AI no-warranty terms in Section 4 apply), and local performance depends on your hardware.
3. Payment, Subscription & Refund
- Product & price — Zeric Pro is a subscription service offered to international customers at USD $12 / month or USD $120 / year. The exact price, billing cycle, and any applicable taxes are shown at checkout before you confirm your order.
- Free trial — You can start a 30-day free trial by email, with no card and no payment. The trial simply ends when the 30 days are up — there is no automatic conversion to a paid plan and no charge. To continue after a trial, or to subscribe without one, you start a paid subscription separately through the Polar checkout.
- Merchant of Record (Polar) — Our order process is conducted by our online reseller Polar. Polar is the Merchant of Record for all our orders. Polar is the seller of record for your purchase and is responsible for collecting payment, charging and remitting any applicable sales tax / VAT, issuing invoices, processing renewals and cancellations of billing, handling refunds, and providing buyer customer service. Your purchase is also subject to Polar's Buyer Terms.
- Service period & auto-renewal — Zeric Pro is an auto-recurring subscription. Your chosen plan (monthly or annual) renews automatically at the end of each billing period, and Polar charges your payment method for the next period using the price shown at checkout. Polar issues a receipt for each charge and, where required by applicable law, advance notice of upcoming renewals. You authorize these recurring charges when you subscribe, and they continue until you cancel.
- Cancellation — You may cancel auto-renewal at any time, via: (i) the subscription / cancellation link in your Polar order-receipt email, (ii) the subscription management page (api.kephalabs.com/billing.html) after email verification, (iii) the Revit add-in [Settings] → "Zeric Pro Subscription" → [Cancel], or (iv) a request to [email protected]. After you cancel, you are not charged from the next cycle, and your already-paid current period remains usable until it expires.
- Refunds — Refunds are handled by Polar as Merchant of Record and are governed by our Refund Policy together with Polar's Buyer Terms. Nothing in these Terms limits any non-waivable statutory cancellation or refund right you may have under the consumer-protection law of your country of residence.
- EU/EEA right of withdrawal — If you are a consumer in the EU/EEA, you have a 14-day right of withdrawal under Directive 2011/83/EU. Because Zeric Pro is digital content/services supplied immediately, at checkout you may give your prior express consent to immediate performance and acknowledge that you thereby lose that right once performance begins (Art. 16(1)(m)); if you do not, the 14-day right is preserved. See our Refund Policy for details and the model withdrawal form.
- Order of precedence — These Terms, together with our Refund Policy, Acceptable Use Policy, and Privacy Policy, govern your relationship with KephaLabs. For the matters Polar handles as Merchant of Record — payment processing, taxes, invoicing, billing renewals/cancellations, and refunds — Polar's Buyer Terms also apply to the payment transaction; if they conflict with these Terms on those payment matters, Polar's Buyer Terms control for the transaction itself, while these Terms continue to govern your licence and use of the software.
- Licence delivery — After a successful payment, your subscription licence token is delivered to the email address used at checkout. Keep this address current so that renewals and notices reach you.
- Taxes — Prices may be displayed exclusive of tax. Any sales tax, VAT, GST, or similar charge that applies in your location is calculated, collected, and remitted by Polar as Merchant of Record and appears on your Polar receipt.
- Fixed-term (prepaid) licence — product — In addition to the recurring subscription above, Zeric Pro is also offered as a fixed-term, prepaid licence for a chosen number of months. It is a one-time purchase, not a subscription: it does not auto-renew and is not charged again. The licence is node-locked to a single computer — you activate it online once, after which it runs fully offline for the paid term. Pricing is USD $12 per month, with each full year (12 months) discounted to $120; the exact total is shown at checkout before you confirm.
- Fixed-term licence — no auto-renewal; delivery — Because a fixed-term licence is prepaid and one-time, the auto-renewal and cancellation provisions above do not apply to it. It simply expires at the end of the paid term; to continue, you purchase a new term. Your licence token is delivered to the email address given for it at checkout, and the term begins when you activate the licence on your computer.
- Fixed-term licence — refund — In addition to any non-waivable statutory right you may have, we offer, as a standard policy, a pro-rata refund of the unused portion of a fixed-term licence; an unactivated licence is treated as fully unused. Because a mid-term refund requires the licence to be withdrawn, the refund is issued after the licence has been revoked (its activation token invalidated on our server), and continued use of a licence after a refund is not permitted. 4. Limitation of liability
- This product is provided "AS-IS" and, to the extent permitted by applicable law, KephaLabs does not warrant fitness for a particular purpose. This does not exclude or limit any warranty, guarantee, or remedy that cannot be excluded under the mandatory consumer-protection law of your country of residence (such as the consumer guarantees under the Australian Consumer Law or the U.S. Magnuson-Moss Warranty Act).
- AI-generated plans are executed only after you review and approve them via the Dry-run preview; KephaLabs is not liable for resulting model changes, data loss, or missed operations.
- Medium / High-risk plans display a separate consent modal before execution and run only when you explicitly approve them.
- However, the above limitations do not apply to damage caused by KephaLabs' intent or gross negligence, or by defects in the software itself (bugs, errors, security vulnerabilities). Where KephaLabs is otherwise liable, damages are limited only to the extent permitted by applicable law and to a level that does not unfairly restrict the ordinary damages incurred by the user. No limitation or cap in these Terms applies to liability for death or personal injury, or to any liability that cannot be limited or excluded under the mandatory consumer-protection law of your country of residence.
5. Data
Data collection, retention, and your rights are governed by the separate privacy policy.
6. Changes to Service & Terms
- Service changes / suspension — KephaLabs may change Zeric's features or temporarily suspend the service for technical or operational needs. Except where unavoidable (e.g. security threats or emergency maintenance), we give advance notice of material changes or of long-term suspension/termination — in principle 30 days beforehand — via in-app notice or registered email. If the service is permanently terminated for a paying subscriber, the fee for the undelivered portion of an already-paid period is refunded.
- Changes to terms — These terms may change due to changes in law, improvements to payment/operating policy, or security/technical needs. Material changes such as price, payment method, or limitation of liability are announced at least 30 days before the effective date via in-app notice or registered email, and are also reflected in the "Last updated" date at the top of this page.
- Right to refuse — A user who does not agree to a change may cancel the subscription before the change takes effect.
7. Minors
Zeric Pro is intended for professional use and is not directed to children. The service is not offered to anyone under the age of 16, and a paid subscription must be entered into by an adult who has reached the age of majority in their country of residence (or by a minor only with the consent of a parent or legal guardian, where local law permits). If a subscription was entered into without the required consent, the user or their legal guardian may request cancellation and a refund at [email protected].
8. Termination
If a user materially breaches these terms — for example, the prohibited acts in Section 1 — KephaLabs may, after requesting that the breach be cured and the user fails to do so, terminate the subscription and suspend the service. In that case, a refund of the fee for the remaining period may be restricted in light of the severity of the breach.
9. Marketplace & User Content
- Free sharing — The marketplace is a space where users share and download commands (
.rcmd) they have built, at no cost. There are no sales, fees, or monetary transactions between users. KephaLabs is not a party to sharing or transactions between users and is not responsible for individual files uploaded by users. - Eligibility to publish — Publishing (uploading) commands to the marketplace is available to users with an active Zeric Pro subscription. Searching, downloading and running commands, and building commands from natural language, are available without a subscription.
- Attribution & protection of the official identity — Trust tiers or badges shown in the marketplace (e.g. "Official", "Community") indicate the authorship (source) of the user who published the content; they are not a KephaLabs warranty as to that content's safety, accuracy, or fitness (responsibility for content follows "Free sharing" above and "Third-party content indemnity" below). Content shown under the KephaLabs identity (trade name or trademark) may be published only by KephaLabs or an account KephaLabs designates, and KephaLabs may refuse or block any attempt by others to publish under the KephaLabs identity (an exercise of trademark protection per "Prohibited content" (1) below). This does not constitute prior review of the content's substance or safety.
- Uploader licence — When you upload files or content to a service operated by KephaLabs, you grant KephaLabs and other users a non-exclusive, royalty-free licence, unlimited in time and territory, as follows: (1) KephaLabs may, to the extent necessary to provide, operate, improve, promote, and technically process the service, reproduce (including transient copies), publicly perform, communicate to the public, display, distribute, rent, and create derivative works of the content, in any current or future media and format; and (2) other users may download, store, run, and use the content within the service, and KephaLabs may sublicense the content to other users for that purpose. You warrant that you hold the rights necessary to publish and license that content.
- Effect of withdrawal — If you stop sharing content, new downloads cease. However, the use of copies already downloaded before withdrawal, and of cache or backup copies retained by KephaLabs for the operation of the service (which KephaLabs will delete within a reasonable period), are not retroactively restricted.
- Prohibited content — You must not upload: (1) content that infringes another's intellectual property rights (copyright, patent, utility-model, design, trademark, trade secret, and the like); (2) content owned by a third party for which you do not hold the necessary rights; (3) malware, viruses, hacking tools, or anything else capable of harming others; (4) content that defames others or invades their privacy; or (5) anything else that violates applicable law or these Terms.
- Uploader responsibility; removal — Responsibility for the lawfulness of uploaded content rests with the uploader. Where a violation of these Terms or applicable law is confirmed, KephaLabs may remove the content — regardless of whether it has been reported — and may restrict, suspend, or terminate the account of, or the contract with, a user who uploads infringing or unlawful content.
- Reporting & takedown (DMCA / notice-and-takedown) — KephaLabs acts only as a hosting intermediary for user-shared
.rcmdcontent and does not pre-screen it. To report content you believe is unlawful or infringes your rights, send a notice to our designated agent at [email protected] with: (1) identification of the work or right infringed; (2) identification and location of the content at issue; (3) your contact details; (4) a statement of your good-faith belief that the use is unauthorized; and (5) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. Upon a valid notice, KephaLabs will expeditiously remove or disable access to the content and, where applicable, notify the uploader, who may submit a counter-notice. KephaLabs also acts on reports under the EU Digital Services Act and other applicable laws, and maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. - Third-party content, indemnity & liability — If you breach applicable law or these Terms and thereby cause loss to KephaLabs or a third party, you are responsible for that loss and will indemnify KephaLabs against third-party claims arising from your breach of these warranties. Marketplace commands are created by users; KephaLabs does not warrant their accuracy, safety, or fitness, and is not liable for the results of downloading or running commands made by other users. You are responsible for reviewing them in the Dry-run preview before executing (see Section 4). Nothing in this Section excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for KephaLabs' wilful misconduct or gross negligence.
- Contributor rewards — KephaLabs may, at its sole discretion, offer benefits such as extended Pro access to outstanding contributors. Whether a reward is granted, the selection criteria (such as download counts or ratings), the reward itself, and the timing are determined solely by KephaLabs, and users have no right to claim a reward. KephaLabs may change or discontinue the reward program, but rewards already granted are not revoked retroactively. Rewards such as extended Pro periods are non-refundable and non-transferable, and any taxes arising from them are borne by the recipient.
10. Governing Law, Consumer Rights & Disputes
- Governing law — These Terms, and your use of Zeric, are governed by the laws of the Republic of Korea, where KephaLabs is established, without regard to conflict-of-laws rules.
- Your mandatory consumer rights — If you are a consumer, this choice of law does not deprive you of the protection afforded by any non-waivable provisions of the consumer-protection law of your country of residence, and you may rely on those mandatory protections. Nothing in these Terms limits your statutory rights as a consumer.
- Payment, billing & refund disputes — Because Polar is the Merchant of Record for your purchase, questions or disputes about payment, taxes, renewals, or refunds are handled by Polar under Polar's Buyer Terms. See also our Refund Policy.
- Resolving other disputes — Disputes relating to the software itself are first addressed through good-faith consultation via [email protected]. A consumer may also bring proceedings before the competent courts of their country of residence where applicable law so provides.
- Non-consumer users — If you use Zeric other than as a consumer (for example, as a business or other organization), any dispute not resolved by consultation is subject to the exclusive jurisdiction of the Seoul Central District Court of the Republic of Korea, under the governing law stated above.
11. Interpretation
This English version is the governing version of these Terms for international customers. (For customers who purchase in Korea under the Korean-language Terms, the Korean version governs.)
